1. Acceptance of Terms

By accessing or using BatchLogic ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

BatchLogic is operated by BatchLogic, Inc. ("we", "us", or "our"). The Service provides batch tracking and management software for manufacturing and processing operations.

2. Description of Service

BatchLogic provides cloud-based batch tracking, yield analytics, and inventory management software. The Service allows users to:

  • Create and manage production batches
  • Track multi-stage production processes
  • Calculate yields and efficiency metrics
  • Manage inventory items
  • Generate reports and worksheets
  • Store production data

3. Account Registration

3.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

3.2 Eligibility

You must be at least 18 years old and legally able to enter into contracts to use the Service. By using the Service, you represent that you meet these requirements.

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent or illegal activity.

4. Subscription Plans and Billing

4.1 Plans

The Service offers both free and paid subscription plans:

  • Free Plan: Limited to 5 batches per month with basic features
  • Pro Plan: $5/month (or $50/year) with unlimited batches and full features

4.2 Free Trial

New Pro plan subscribers receive a 14-day free trial. No credit card is required to start the trial. You may cancel at any time during the trial period without charge.

4.3 Billing

  • Paid subscriptions are billed monthly or annually in advance
  • Payment is processed securely through Stripe
  • All fees are in U.S. Dollars (USD)
  • Subscriptions automatically renew unless cancelled

4.4 Cancellation and Refunds

  • You may cancel your subscription at any time from your account settings
  • Cancellations take effect at the end of the current billing period
  • We do not provide refunds for partial months or unused portions of annual subscriptions
  • Upon cancellation, your data remains accessible for 90 days

4.5 Price Changes

We reserve the right to modify subscription prices with 30 days' notice. Price changes will not affect your current billing period.

5. Use of Service

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code or attempt to hack the Service
  • Use the Service to store illegal content
  • Resell or redistribute the Service without permission
  • Use automated systems to scrape or download data
  • Impersonate others or provide false information

5.2 Your Content

You retain ownership of all data you upload to the Service ("Your Content"). By using the Service, you grant us a limited license to store, process, and display Your Content solely to provide the Service to you.

5.3 Compliance

You are responsible for ensuring your use of the Service complies with all applicable laws, including but not limited to manufacturing regulations, industry-specific compliance requirements, and data protection laws.

6. Intellectual Property

6.1 Our Property

The Service, including all software, designs, text, graphics, and other content, is owned by BatchLogic, Inc. and protected by copyright, trademark, and other intellectual property laws.

6.2 License to Use

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes, subject to these Terms.

6.3 Feedback

If you provide feedback or suggestions about the Service, we may use them without any obligation to you.

7. Data and Privacy

7.1 Data Storage

We store Your Content on secure cloud servers. We implement industry-standard security measures but cannot guarantee absolute security.

7.2 Data Retention

  • Active accounts: Data stored indefinitely while subscription is active
  • Free tier: Data retained for 30 days
  • Pro tier: Data retained indefinitely
  • Cancelled accounts: Data retained for 90 days, then permanently deleted

7.3 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Service Availability

8.1 Uptime

While we strive for high availability, we do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

8.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

9. Disclaimers and Limitation of Liability

9.1 Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BATCHLOGIC, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers
  • Any interruption or cessation of the Service
  • Any bugs, viruses, or other harmful code
  • Any errors or omissions in content
  • Any loss of data

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless BatchLogic, Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

11.2 Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, rather than in court, except that you may assert claims in small claims court if your claims qualify.

11.3 Class Action Waiver

You agree to resolve disputes with us only on an individual basis, and not as part of any class, consolidated, or representative action.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BatchLogic, Inc. regarding the Service.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

12.5 Updates to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.
